User Agreement

Effective Date: March 22, 2026

This User Agreement (“Agreement”) is a binding legal contract between you and Keigen Technologies UK Limited (“Keigen”, “we”, “us”, or “our”). It governs your access to and use of our websites, software products, AI-powered services, e-shop, art-related commerce, cultural residency bookings, workshops, and all related features (collectively, the “Services”). By accessing, registering for, purchasing from, booking through, or otherwise using the Services, you agree to be bound by this Agreement, our Privacy Policy, our Cookies Notice, and our Usage Policies below. If you do not agree, you must not use the Services.

1. Age Requirement and Capacity

By using the Services, registering for an account, purchasing products, or making a booking, you represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal authority to enter into a binding contract with Keigen Technologies UK Limited.

2. Accounts and Security

Some Services may require you to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity carried out under your account. You must notify us promptly if you believe your account has been accessed without authorisation.

3. Service Scope

Keigen operates across software, AI-assisted experiences, art-related commerce, and cultural programs. Some Services are available publicly; others are offered only through pilots, private access, enquiries, or custom commercial arrangements. We may modify, suspend, or discontinue all or part of the Services at any time.

4. Software Licences

Where Keigen provides access to software or digital tools, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the relevant Service for its intended purpose and only in accordance with this Agreement, your subscription or engagement model, and any product-specific commercial terms.

You must not copy, resell, redistribute, reverse engineer, decompile, attempt to derive source code from, or otherwise misuse the software except to the extent such restriction is prohibited by applicable law.

5. AI Features and Output

Certain Services may use artificial intelligence. AI-generated output is provided on an “as is” basis and may be incomplete, inaccurate, biased, or unsuitable for your intended purpose. You remain responsible for reviewing, validating, and deciding how to use any AI-generated content. Keigen does not provide legal, medical, financial, or other regulated professional advice through AI features unless expressly stated otherwise in writing.

6. Acceptable Use

You must not use the Services to:

  • break the law or infringe the rights of others;
  • upload or transmit unlawful, defamatory, abusive, fraudulent, or infringing content;
  • circumvent security, access controls, rate limits, or safety features;
  • probe, scan, scrape, or interfere with the Services in an unauthorised way;
  • attempt prompt injection, safety bypassing, or other manipulative attacks against AI features;
  • share credentials, resell access, or misuse software licences without express permission;
  • interfere with trust, scoring, tracking, attribution, or reward mechanisms;
  • use the Services to distribute malware, spam, or harmful technical content.

7. Keigen Content and Intellectual Property

All software, site content, text, graphics, branding, artwork, designs, data structures, frameworks, and other materials made available through the Services are owned by Keigen or its licensors and are protected by intellectual property laws. Except for the limited licence expressly granted in this Agreement, no rights are granted to you.

Artworks, visual assets, and cultural materials may carry separate rights, restrictions, or authenticity conditions. You must not reproduce, distribute, alter, publicly display, or commercially exploit them without written permission.

8. Your Content

You retain ownership of content you submit to the Services, subject to the rights needed for us to operate, secure, improve, and administer the Services. By submitting content, you grant Keigen a non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, adapt, and use that content for service delivery, support, security, compliance, moderation, and improvement purposes, all in accordance with our Privacy Policy and applicable law.

You represent that you have the rights needed to submit your content and that doing so does not infringe any third-party rights.

9. Orders, Art Purchases, and Cultural Residency Bookings

Product listings, art offers, and residency or workshop opportunities are invitations to treat, not binding offers. A contract is formed only when Keigen confirms the order or booking. Availability, pricing, timelines, and fulfilment may vary depending on the nature of the product or programme.

Certain items or experiences may be bespoke, limited, made-to-order, seasonal, or capacity-restricted. Additional booking, cancellation, fulfilment, authenticity, or delivery terms may apply to those offerings and will prevail where expressly stated.

10. Returns and Refunds

Nothing in this Agreement limits any non-excludable consumer rights you may have under applicable law.

A. General consumer cancellation rights

Where required by applicable distance-selling law, eligible consumers may have the right to cancel certain online, mail, or telephone purchases within 14 days of receiving the goods. If that right applies and you exercise it, you must return the goods within 14 days of telling us you wish to cancel.

B. Exclusions and limitations

Cancellation or return rights may not apply, or may apply differently, to:

  • goods made to your specification or clearly personalised;
  • sealed goods not suitable for return once unsealed for health or hygiene reasons;
  • digital content once supply has begun with your prior express consent and acknowledgement that cancellation rights may be lost;
  • time-specific services, accommodation, events, workshops, or residency bookings where the law provides different cancellation treatment;
  • items sold through any marketplace or third-party seller arrangement where separate seller terms apply.

C. Faulty, damaged, incorrect, or misdescribed items

If an item arrives faulty, damaged, incorrect, or materially not as described, contact us promptly. We may ask for photos, order information, and a description of the issue so we can assess the problem and determine the appropriate remedy.

D. Refund Process

Approved refunds will be processed to your original payment method without undue delay. We will issue your refund no later than 14 days after the day we receive the returned goods from you, or, if earlier, 14 days after the day you provide evidence that you have returned them. Shipping costs for returns are the buyer’s responsibility unless the item is faulty, damaged, or incorrect.

11. Affiliate Terms

The Keigen Affiliate Programme allows approved partners to earn commissions by referring new customers to Keigen products and services. Participation is subject to the following terms.

A. Eligibility and Approval

Participation is open to eligible individuals and organisations, but approval and continued participation remain at Keigen’s sole discretion.

B. Commission Validation

Commission rates, attribution windows, and payout schedules will be communicated upon acceptance into the programme. Commissions are earned only on completed, cleared transactions that are not refunded, disputed, cancelled, or charged back.

C. Fraud Review, Withholding, and Clawbacks

Keigen reserves the right to withhold, delay, reverse, or claw back commission payments where the underlying transaction is refunded, charged back, cancelled, found to be fraudulent, or otherwise determined to be invalid under the programme rules.

D. Prohibited Methods

  • self-referrals or purchases made through your own affiliate links;
  • paid search bidding on Keigen brand terms or misleading ad copy;
  • cookie stuffing, forced clicks, click injection, incentivised clicks, or manipulation of attribution;
  • false claims, misleading representations, or unauthorised guarantees regarding Keigen products or services.

E. Compliance and Disclosure

Affiliates must comply with all applicable advertising, disclosure, and consumer-protection rules, including any requirement to disclose the affiliate relationship clearly.

F. Termination

Either party may terminate the affiliate relationship at any time. Upon termination, Keigen will pay only valid, undisputed commissions that remain payable after fraud, refund, and chargeback review.

12. Suspension and Termination

We may suspend, restrict, or terminate your access to any Service if we reasonably believe you have breached this Agreement. You may stop using the Services at any time.

13. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available”. Keigen does not warrant that the Services will be uninterrupted, error-free, secure, or suitable for every use case.

14. Limitation of Liability

Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law. Subject to this, Keigen’s total aggregate liability will not exceed the greater of: (a) the amount you paid us for the specific Service giving rise to the claim during the preceding 12 months; or (b) £100.

15. Changes to the Services or Agreement

We may update this Agreement from time to time. Where changes are material, we will take reasonable steps to notify users. Continued use of the Services after the effective date constitutes acceptance.

16. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales. Subject to mandatory consumer rights, the courts of England and Wales will have exclusive jurisdiction.

Usage Policies

Effective Date: March 22, 2026

These Usage Policies apply to all Keigen Services. Prohibited activities include: unauthorized access, reverse engineering, fraudulent use, bot abuse, automated scraping, manipulation of trust systems, distribution of malware or spam, harassment, discrimination, illegal activity, and circumvention of security measures. Violations may result in content removal, account suspension, or termination. To report a violation, contact hello@keigen.co.uk.
